SWEEPSTAKES DESCRIPTION: The Skyline Chili 2015 Crosstown Shootout Free Throw Sweepstakes (the “Sweepstakes”) begins on January 12, 2015 and ends on February 1, 2015 (the “Sweepstakes Period”). Entry in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Skyline Chili, Inc., 4180 Thunderbird Lane, Fairfield, OH 45014 (“Sponsor”), which shall be final and binding in all respects.

ELIGIBILITY: Open only to legal U.S. residents who reside in Kentucky, Indiana, or Ohio (collectively, the “Territory”) who are eighteen (18) years of age or older at time of entry. Employees, officers, and directors of Sponsor, Xavier University, University of Cincinnati (as defined below), and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (collectively, the “Sweepstakes Entities”) and the immediate family members, and/or those living in the same household of each, are ineligible to enter the Sweepstakes or win a prize. The Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void outside Kentucky, Indiana, and Ohio and where prohibited or restricted by law.

HOW TO ENTER: There are two (2) ways to enter the Sweepstakes:

(a) In Person: To enter in person, complete an official entry form available at participating Skyline Chili locations in the Territory or on a piece of paper, hand print your full name, complete home address and zip code, daytime phone number and area code, date of birth, and email address and indicate whether you wish to opt-in to receive email marketing offers from Sponsor and deposit your completed entry form in the entry box available. All in-store deposit entries must be deposited by close of business on February 1, 2015.

(b) To enter by mail, hand print in ink on a 3" x 5" postcard your full name, complete home address and zip code, daytime phone number and area code, date of birth, and e-mail address and indicate whether you wish to opt-in to receive email marketing offers from Sponsor. Mail this completed card in a first-class stamped envelope to: Skyline Chili 2015 Crosstown Shootout $10,000 Free Throw Sweepstakes Entry, 4180 Thunderbird Lane, Fairfield, OH 45014. No metered mail will be accepted. All mail-in entries must be postmarked by 1/28/15 and received by 2/1/15. No copies, facsimiles or mechanical reproductions will be accepted. Sponsor assumes no responsibility for lost, late, incomplete, stolen, misdirected, illegible or postage due entries or mail. Limit one (1) entry per outer mailing envelope.

Limit one (1) entry per person, per day, regardless of entry method.

WINNER SELECTION AND NOTIFICATION: On or about February 4, 2015, the prize winners will be randomly selected by representatives of Sponsor from among all eligible entries received during the Sweepstakes period. The potential prize winners will be notified by telephone and/or mail and/or e-mail, using contact information provided or collected at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected. The odds of winning depend on the number of eligible entries received.

PRIZES/APPROXIMATE RETAIL VALUES:

Six (6) Grand Prizes are available. Six Grand Prize finalists will be randomly drawn on or about February 4, 2015. On or about February 11, 2015, another drawing from among the Grand Prize finalists will be made to select which two of the Grand Prize finalists will have the opportunity to shoot for cash. The names of two of the Grand Prize finalists will be randomly drawn and those two finalists will have the opportunity to shoot for cash at the 2015 Skyline Chili Crosstown Shootout as described below. The remaining four (4) Grand Prize finalists will receive Skyline Chili for a Year prizes, awarded as $525 in Skyline gift cards. No exchanges apply. No cash value. The approximate retail value (“ARV”) of the Grand Prizes is $14,100.

Two (2) First Prizes are available. Each First Prize consists of two (2) University of Cincinnati or Xavier University season tickets for the 2015-2016 basketball season and a $100 Skyline gift card. The maximum ARV of each First Prize is $800. The first First Prize winner drawn will have the opportunity to pick the school tickets he/she prefers. The second First Place winner drawn will receive the other available school ticket set. The actual value of each First Prize may vary based on face value of tickets awarded to each First Prize winner. Actual location of tickets will be awarded at random. Sponsor does not guarantee seat location.

Two Hundred (200) Second Prizes are available. Each Second Prize consists of a Skyline Chili Crosstown Shootout basketball and a $25 Skyline Chili Gift Card. The ARV of each Second Prize is $34.99.

Free Throw Shooting Contest. The two (2) Grand Prize winners selected to have the opportunity to shoot for cash will participate in a free throw shooting contest during the Skyline Chili Crosstown Shootout basketball game on February 18, 2015 at the University of Cincinnati. Skyline Chili will provide the two (2) Grand Prize winners shooting for cash with two (2) tickets to the game where the contest will be held. The two (2) selected Grand Prize winners will have the opportunity to go on the basketball court during a designated time during the game at the Skyline Chili Crosstown Shootout game and make as many free throw baskets as they can during a designated time period with a regulation basketball (official Men’s NCAA) through the regulation hoop from behind the official free throw shooting line on the NCAA regulation court for the basket they are shooting at. The designated time period will be announced prior to commencement of the shooting contest. In the event the selected Grand Prize winner is unable or unwilling to shoot the free throw shots, he/she may designate a representative (must be Grand Prize winner’s guest, present at the game) to shoot the free throw shots on his or her behalf. The Grand Prize winner that has the highest number of free throw shots made in the basket during the designated time period will win $10,000. The Grand Prize winner with the second highest number of free throw shots made in the basket during the designated time period will win $2,000. In the event of a tie, the two (2) Grand Prize winners will receive $6,000 each. The following are ineligible to act as a representative to shoot free throw shots on behalf of a Grand Prize winner: (i) any current or former professional or semi-professional basketball players; and (ii) any current or former collegiate basketball players who have played at that level within the past five (5) years.

Sponsor is not responsible for and assumes no liability for cancellation, postponement or rescheduling of a game, for any reason, and Sponsor will not award an alternate prize in the event that the winner cannot attend a rescheduled game. If the game is cancelled for any reason and not rescheduled, Sponsor will provide an alternate prize of equal or greater value. The game, event and exhibition dates and times are determined in the sole discretion of the NCAA, University of Cincinnati and Xavier University, as applicable, and may be subject to change. The terms and conditions of the tickets awarded as prizes will govern in the event a legal game, event or exhibition, as defined by NCAA, is not played due to weather, an act of God, and an act of terrorism, civil disturbance or any other reason. The Grand Prize winners and his/her guest(s) agree to comply with all applicable arena regulations in connection with the Grand Prize. Sponsor and the host school reserve the right to remove or to deny entry to winner(s) and/or his/her guest(s) who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game, event or exhibition.

GENERAL PRIZE CONDITIONS: No cash alternative or prize substitutions will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if a prize listed, or any portion thereof, is unavailable for any reason. Gift Cards may be subject to separate terms and conditions imposed by issuer. Prize winners shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. The potential Grand Prize winner must execute an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If winner fails or refuses to sign and return all Prize Claim Documents within five (5) days of prize notification (or a shorter time if required by exigencies), winner may be disqualified and an alternate winner may be selected.

Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

GENERAL: Acceptance of a prize constitutes prize winner’s permission for Sponsor to use prize winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Entrants agree that the Sweepstakes Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Sweepstakes Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications. These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF OHIO WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

WINNER’S LIST: Any legally required winner’s list may be obtained by sending a self-addressed, stamped envelope to: Skyline Chili 2015 Skyline Chili Crosstown Shootout Free Throw Sweepstakes Winners, Skyline Chili, 4180 Thunderbird Lane, Fairfield, OH 45014. All such requests must be received within six (6) weeks after the end of the Sweepstakes Period.
